1. Agreement to these terms
These Terms of Service govern access to and use of ScheduleFlow, a service provided by Stemera. By using ScheduleFlow, the customer agrees to these terms. If you use ScheduleFlow on behalf of an organization, you represent that you have authority to bind that organization.
These terms are written for an early pilot service and are not represented as attorney-reviewed.
2. Service description
ScheduleFlow is an AI-assisted business operations product that helps users understand incoming email, organize tasks and follow-ups, prepare email drafts, review scheduling requests, suggest meeting times, manage approvals, create approved calendar events, and receive a structured Morning Brief.
ScheduleFlow is designed to assist human decision-making. It does not replace the customer’s professional judgment, supervision, or review.
3. Customer approvals and responsibilities
The customer is responsible for reviewing the accuracy, appropriateness, recipients, timing, and consequences of all drafts, proposed actions, and outputs. The customer must approve an external Gmail or Calendar action and separately, explicitly authorize its execution.
The customer remains responsible for communications sent, events created, business decisions made, and use of ScheduleFlow outputs. AI-generated or extracted information may be incomplete or incorrect and should be checked before reliance.
4. Acceptable use
The customer may not use ScheduleFlow to:
- Violate applicable law or another person’s rights;
- Send spam, deceptive communications, malware, or abusive content;
- Attempt unauthorized access to accounts, systems, or data;
- Interfere with the security or operation of the service;
- Use credentials, data, or integrations without proper authorization;
- Reverse engineer or misuse the service except where such restriction is prohibited by law.
5. Credentials and access authorization
The customer is responsible for maintaining the security of its accounts and devices and for promptly reporting suspected unauthorized access. The customer authorizes Stemera and ScheduleFlow to access connected services and process information only to the extent needed to provide the agreed functionality.
The customer represents that it has all necessary rights and permissions for data and accounts connected to ScheduleFlow. Google access can be revoked by the customer, although doing so may limit or stop related features.
6. Pilot nature, changes, and availability
ScheduleFlow is currently a locally managed, private pilot. Features, workflows, and availability may change as the product develops. Stemera may perform maintenance, modify features, or discontinue pilot functionality. The service may experience interruptions, and Stemera does not promise uninterrupted or error-free availability.
Stemera will use reasonable efforts to communicate material pilot changes and provide support, but no formal service level commitment applies unless stated in a separate written agreement.
7. Fees
Fees, payment timing, pilot scope, and any related commercial terms may be governed by a separate written agreement, order, or proposal. If no such agreement applies, Stemera will communicate and obtain agreement to any fees before charging the customer.
8. Data and privacy
Stemera handles personal information and connected Google data as described in the Privacy Policy. The customer is responsible for providing any notices and obtaining any permissions required for its own collection and use of data through ScheduleFlow.
9. Intellectual property and feedback
Stemera and its licensors retain rights in ScheduleFlow, including its software, design, and documentation. The customer retains rights in customer data. The customer grants Stemera the limited rights necessary to process customer data and provide the service.
If the customer provides feedback, Stemera may use it to improve ScheduleFlow without restriction or obligation, provided Stemera does not publicly identify the customer without permission.
10. Suspension and termination
Either party may end a pilot according to any separate agreement or by reasonable written notice when no separate term applies. Stemera may suspend or terminate access for security risk, material breach, unlawful use, nonpayment of agreed fees, or conduct that could harm the service or others.
On termination, Google access will be disconnected or revoked. Customer data may be retained for up to 30 days for recovery or export and then deleted as described in the Privacy Policy. The customer may request an export during that window or earlier deletion, subject to legal requirements.
11. Disclaimers
To the fullest extent permitted by applicable law, ScheduleFlow is provided “as is” and “as available.” Stemera disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service or its outputs will be uninterrupted, secure, accurate, or error-free.
ScheduleFlow is not legal, tax, accounting, medical, or other professional advice. Customers should use qualified professionals where appropriate.
12. Limitation of liability
To the fullest extent permitted by applicable law, Stemera will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities arising from or related to ScheduleFlow.
To the fullest extent permitted by applicable law, Stemera’s aggregate liability arising from or related to the service will not exceed the amount the customer paid Stemera for ScheduleFlow during the three months before the event giving rise to the claim. These limitations do not apply where liability cannot lawfully be limited.
13. Changes to these terms
Stemera may update these terms as the pilot develops. Revised terms will be posted here with an updated effective date. If a change materially affects existing use, Stemera will provide reasonable notice when appropriate.
